Governance Practices
- The Bank´s Compliance Department serves as the dedicated department for corporate governance affairs. On August 29, 2023, the Board of Directors approved the appointment of the Deputy Head of the Compliance Department as the Bank´s Chief Corporate Governance Officer, responsible for corporate governance-related matters.
- The corporate governance matters shall include at least the following content:
- Handling matters relating to board meetings and shareholders meetings according to laws.
- Producing minutes of board meetings and shareholders meetings.
- Assisting in onboarding and continuing education of directors.
- Furnishing information required for business execution by directors.
- Assisting directors with legal compliance.
- Other matters set out in Corporate Regulation or contracts.
- The training schedule for the Bank´s Chief Corporate Governance Officer in 2025 is as follows, with a total training time of 12 hours:
- Participated in a 3-hour seminar on "Sustainable Disclosure and Investment Value from an Investor's Perspective: Explaining the ESG Disclosure Framework and Risk Monitoring, Connecting Trust in Capital Markets" organized by the Taiwan Corporate Governance Association.
- Participated in a 3-hour seminar on "[ Chief Corporate Governance Officer Professional Course ] Chief Corporate Governance Officer and Sustainable Governance" organized by the Taiwan Corporate Governance Association.
- Participate in a 3-hour seminar on “The Digital Financial Revolution: The Principles of Stablecoins and the Development Trends of Blockchain Virtual Assets” organized by the Taiwan Corporate Governance Association.
- Participated in a 3-hour seminar on "International Trends and Experiences in Corporate Integrity Management and High-Level Accountability Systems" organized by the Taiwan Corporate Governance Association.
