Terms of Reference of Functional Committees

  • The Audit and Risk Management Committee Organizational Charter establish the primary purpose of the Audit and Risk Management Committee’s operations is to supervise the following matters:
  1. The proper presentation of the Company’s financial statements.
  2. The selection (dismissal) and the independence and performance of CPAs.
  3. The effective implementation of the Company’s internal controls.
  4. The appropriateness of the Company’s internal regulatory compliance procedures and plans.
  5. The management and control of existing risks to the Company.

  • The powers and duties of the Audit and Risk Management Committee are as follows:
  1. To establish or revise the internal control system.
  2. To assess the effectiveness of the internal control system.
  3. To establish or revise the acquisition or disposal of assets procedures.
  4. To review matters involving conflicts of interest for directors.
  5. To review the issuance, offering, or private placement of securities with equity characteristics.
  6. To review the appointment, dismissal, or remuneration of CPAs.
  7. To review the appointment and dismissal of the heads of finance, accounting, or internal audit.
  8. To review the annual and second-quarter financial reports signed or sealed by the Chairman, executives, and accounting officers, which must be CPA-audited.
  9. To review the fairness and reasonableness of merger and acquisition plans and transactions.
  10. To review the business report and the distribution of earnings or offsetting of losses.
  11. To review the annual budget and operational plans.
  12. To review information security policies, strategies, and improvements for major security incidents.
  13. To review risk management policies and implementation.
  14. To review significant changes in accounting policies or estimates.
  15. To review transactions involving connected persons (including actual connected persons) that need to be submitted to the Board of Directors for review in accordance with laws, regulations or internal regulations.
  16. To review other important matters that the Board of Directors or competent authorities require to be submitted to this committee for review.
  17. Approval of matters authorized by the Board of Directors.
